Welcome to VEGA Directory. These Terms and Conditions ("Terms") govern your use of our website (the "Site") and your purchase of access to our proprietary database of international manufacturers and suppliers (the "Service").

By accessing our Site and purchasing access to the Service, you agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our Site or purchase our Service.

1. The Service

VEGA Directory ("we", "us", "our") provides a one-time purchase for lifetime access to a curated database of international manufacturers and suppliers (the "Data"). Upon successful payment, users are granted the ability to view and download the Data in Excel format.

2. Account Registration

To purchase the Service, you must create an account by providing a valid email address and name. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Payment and Lifetime Access

Access to the Service is granted upon the successful processing of a one-time, non-recurring fee. All payments are processed through a secure third-party payment processor. We do not store your full credit card information on our servers.

Upon payment, you will be granted "lifetime access" to the Data, which means your access will remain active for as long as VEGA Directory continues to maintain and operate the Service.

4. NO REFUND POLICY

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES.

By completing your purchase, you explicitly acknowledge and agree to this no-refund policy.

Reasoning: Our product is a downloadable digital good. Upon payment, you are immediately granted full and irreversible access to our entire valuable Data set, including the right to download it. The value of our Service is delivered instantly at the point of access, and the downloaded Data cannot be returned. Therefore, we are unable to offer refunds for any reason.

5. Grant of License and Data Ownership

Upon successful purchase, VEGA Directory grants you a perpetual, irrevocable, worldwide, non-exclusive license to access, use, and possess the Data that you download from our Service for your internal business or personal purposes.

What this means:

• You Own the Downloaded File: Once you download the Data in Excel format, you are free to keep and use that specific file forever, according to these Terms.

• VEGA Directory Retains Its Rights: VEGA Directory remains the sole owner of all intellectual property rights related to the Site itself, including our brand, logos, website design, user interface, and the underlying structure and compilation of the database as a whole. This agreement does not grant you any ownership rights in the Service itself, only in the copy of the Data you download.

6. Prohibited Uses

The license granted to you is for your use only. You are strictly prohibited from:

• Reselling, sub-licensing, sharing, or otherwise distributing the Data, in whole or in part, to any third party.

• Making the Data publicly available on any website, database, or other platform.

• Using the Data to create a competing product or service.

• Using the Data for any illegal purpose, including but not limited to sending unsolicited commercial email (spam).

Violation of these terms will result in the immediate termination of your account and access to the Service, without a refund, and may subject you to legal action for damages.

7. Disclaimer of Warranties

The Data and the Service are provided on an "as is" and "as available" basis. While we strive to provide valuable and accurate information, we make no warranties or representations about the completeness, accuracy, reliability, or timeliness of the Data. Information regarding manufacturers and suppliers can change, and we are under no obligation to provide updates to the downloaded file.

8. Limitation of Liability

To the fullest extent permitted by law, VEGA Directory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; or (b) any errors or omissions in the Data.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, to resolve any legal matter arising from the Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any changes by updating the "Last Updated" date on this page. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.
